1. Agreement to Terms

By accessing or using Dray's Learning Hub ("the Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Platform.

2. Description of Service

Dray's Learning Hub provides:

• AI-powered educational tools and learning support
• Interactive learning experiences and content
• Learning management and progress tools
• Educational management features for institutions
• User monitoring and oversight capabilities

3. User Accounts

Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

Age Requirements

Users under 13 years old must have parental consent. Users between 13-18 may require parental supervision depending on local regulations.

4. Acceptable Use Policy

You agree not to:

• Use the Platform for any illegal or unauthorised purpose
• Violate any laws in your jurisdiction
• Harass, abuse, or harm other users
• Submit false or misleading information
• Attempt to gain unauthorised access to the Platform
• Interfere with or disrupt the Platform's operation
• Copy, modify, or distribute Platform content without permission
• Use automated systems or software to extract data

5. Intellectual Property

Platform Content

All content on the Platform, including text, graphics, logos, and software, is owned by or licensed to Dray's Learning Hub and is protected by intellectual property laws.

User Content

You retain ownership of content you submit but grant us a licence to use, modify, and display it as necessary to provide our services. For detailed terms regarding content uploads, please see Section 5A below.

5A. Content Uploads and Curriculum Materials

Your Warranties When Uploading Content

By uploading curriculum content, teaching materials, syllabi, lesson plans, or other educational content to the Platform ("Uploaded Content"), you represent and warrant that:

• Ownership or Licence: You own, or have obtained all necessary rights, licences, consents, and permissions to upload such content
• No Third-Party Infringement: The content does not infringe the intellectual property rights, privacy rights, database rights, or any other rights of any third party
• Authority: You have the legal authority to grant us the licences described in these Terms
• No Unlicensed Material: The content does not contain material from copyrighted textbooks, workbooks, exam papers, or other third-party publications unless you have obtained appropriate licences from the rights holders
• Compliance: You have complied with all applicable laws and regulations in creating, obtaining, or sharing the content

Licence Grant for Analysis and Style Learning

By uploading content to the Platform, you grant Dray's Learning Hub a non-exclusive, worldwide, royalty-free, sublicensable licence to:

• Store, process, and analyse the Uploaded Content
• Extract teaching styles, pedagogical approaches, vocabulary patterns, explanation structures, and other stylistic elements from such content
• Use extracted patterns and styles to generate new, original educational content (which shall be owned by Dray's Learning Hub)
• Create derivative works based on the teaching style—but not the specific copyrightable expression—of your uploads

Content Ownership Clarification

For the avoidance of doubt:

• Your Content: You retain ownership of original content you create and upload, subject to the licence granted above
• School Content: Educational institutions retain ownership of curriculum materials and teaching resources created by their staff and uploaded through institutional accounts
• AI-Generated Content: Dray's Learning Hub owns all content generated by our AI systems, including content created using styles learned from your uploads, under UK Copyright, Designs and Patents Act 1988, Section 9(3)
• Student Work: Student-created work remains the property of the student or their educational institution as applicable

Prohibited Uploads

You must not upload content that:

• Consists of complete or substantial portions of third-party copyrighted works (such as textbooks, published curricula, or exam board materials) without authorisation
• Contains material subject to confidentiality obligations
• Includes personal data of individuals without appropriate consent or legal basis
• Infringes database rights under the Copyright and Rights in Databases Regulations 1997

6. Payment Terms

For paid subscriptions:

• Payments are processed securely through third-party providers
• Subscriptions automatically renew unless cancelled
• Prices may change with 30 days' notice
• Refunds are provided according to our refund policy
• You're responsible for all applicable taxes

7. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy. We are committed to protecting your personal information and complying with applicable data protection laws.

8. Disclaimers

The Platform is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Accuracy or reliability of content
• Specific learning outcomes or results
• Compatibility with all devices or systems

AI-Generated Content Disclaimer

AI-generated content is created by machine learning systems and:

• May contain factual inaccuracies, errors, or outdated information
• May reflect biases present in training data
• Should be reviewed by qualified educators before classroom use
• Is not a substitute for professional educational judgement
• May not be suitable for all educational contexts without modification

You acknowledge that you are solely responsible for reviewing, validating, and approving all AI-generated content before use with students. We disclaim all liability for educational outcomes resulting from use of AI-generated content.

Content Mimicry Disclaimer

Content generated using our style learning and mimicry features:

• Is designed to emulate teaching styles, not reproduce copyrighted content
• May not perfectly replicate any particular teaching approach
• Remains subject to the accuracy limitations of AI systems
• Should be reviewed for alignment with your specific educational standards

9. Limitation of Liability

To the maximum extent permitted by law, Dray's Learning Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Platform.

10. Indemnification

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Dray's Learning Hub, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising from or related to:

• Your breach of these Terms of Service
• Your violation of any applicable law or regulation
• Uploaded Content Claims: Any claim that content you uploaded to the Platform infringes the intellectual property rights, database rights, privacy rights, or any other rights of any third party
• Warranty Breach: Your breach of any warranty made in Section 5A regarding Uploaded Content
• Unauthorised Material: Claims arising from your upload of copyrighted textbooks, exam materials, or other third-party content without appropriate licences
• Your misuse of AI-generated content in violation of the licence terms
• Any claim arising from your negligent or wrongful acts or omissions

Indemnification Procedure

We will promptly notify you of any claim subject to indemnification and provide you with reasonable assistance in defending such claim, at your expense. You shall not settle any claim without our prior written consent. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.

Survival

Your indemnification obligations under this Section shall survive termination or expiration of these Terms and your use of the Platform.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Illegal or harmful activities
• Non-payment of fees
• Extended period of inactivity

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, unless otherwise required by applicable consumer protection laws.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through the Platform or via email. Continued use after changes constitutes acceptance.
